Updated Microsoft Customer Agreement terms - Partner action required

Microsoft has updated its Microsoft Customer Agreement terms (MCA). To maintain up-to-date agreements, the new MCA terms must be reviewed and accepted by LS Central SaaS and LS Express customers registered prior to April 1, 2023. Customers registered after April 1, 2023 have been created based on the updated terms of the MCA and therefore, require no action.

Communicating the changes 
Please download and share the changes made to the MCA with all customers registered before April 1, 2023, who have not already accepted the changes. The changes can be viewed in the MCA resource collection and the updated version of the MCA can be viewed here: MCA.

Updated terms include:

  1. Changes made to the limitation of liability
  2. A new section on modifications to the MCA
  3. A new section on Professional Services
  4. Other changes to definitions and language clarifications

Customer acceptance: 
There are two ways in which customer acceptance can be achieved:

  1. LS Retail Acceptance: LS Retail will accept the terms based on the assumption of approval from the customer.
  2. Direct customer acceptance: The customer can choose to review and accept the agreement in the Microsoft 365 Admin Center.

Notification of non-acceptance
It is important that customers are made aware of changes being made to the MCA and that LS Retail receives notice of any non-acceptance from a customer. Should LS Retail not receive notice of any non-acceptance before April 1, 2024, LS Retail will assume that the customer has accepted the changes, and thereby accept the terms on behalf of the customer. 

What happens if a customer does not accept the changes?
If a customer registered before April 1, 2023, does not accept the updated MCA, that customer will stay on the current MCA. The customer will however not be able to order additional licenses or add to their existing licenses.

Upon accepting the updated terms of the MCA, the customer will receive an email notification from Microsoft, confirming their acceptance. Therefore, it is of utmost importance that Partners inform their customers of the changes and necessary action.
